Terms of Service

1. Acceptance

By accessing or using the MadStack AI platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the service. These Terms apply to all users, including owners, admins, members, and billing contacts.

2. Permitted use

MadStack AI grants you a limited, non-exclusive, non-transferable licence to access and use the platform solely for your internal business purposes. You may not:

• Resell, sublicense, or white-label the service without our written consent.
• Submit card images or contact data for which you do not have lawful authority.
• Attempt to reverse-engineer, decompile, or extract our AI models.
• Use the service to violate any applicable law or regulation.
• Circumvent rate limits, access controls, or authentication mechanisms.

3. Subscriptions and billing

Access to the platform requires a paid annual subscription billed on a per-seat basis. Seats are allocated at account creation and may be increased at any time; decreases take effect at the next renewal date. All fees are non-refundable except as required by applicable law. We reserve the right to suspend accounts with overdue invoices after a 14-day grace period.

4. Data ownership

You retain ownership of all card images and contact data you submit to the platform. You grant MadStack AI a limited licence to process that data solely to deliver the service. We do not use your data to train AI models or share it with third parties except as described in our Privacy Policy.

5. Service availability

We target 99.5% monthly uptime. Scheduled maintenance is announced with at least 24 hours' notice. Unplanned outages are tracked on our Status page. Uptime SLAs and remedies are available in enterprise agreements.

6. Limitation of liability

To the maximum extent permitted by law, MadStack AI's total liability for any claim arising under these Terms is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

7. Termination

Either party may terminate the agreement at any time. Upon termination, you have 30 days to export your data before it is permanently deleted. We may terminate immediately for material breach, including non-payment or misuse of the platform.

8. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration in San Francisco, CA, except that either party may seek injunctive relief in any court of competent jurisdiction.
